1. Introduction

Welcome to The Visible. These Terms and Conditions (“Terms”) govern your access to and use of our services, including social media management, branding, digital marketing, design, and related services (“Services”). By engaging with The Visible, you agree to comply with and be bound by these Terms.

If you do not agree with these Terms, please do not use our Services.

2. Definitions

  • Client / You: The individual, company, or entity engaging The Visible for services.
  • Company / We / Us / Our: The Visible, operating from Cuttack, Odisha, India.
  • Services: All digital marketing, branding, content creation, advertising, and consultancy services provided by The Visible.

3. Scope of Services

All services will be provided as per the agreed scope of work, quotation, or proposal. Any additional work beyond the agreed scope shall be subject to additional charges.

4. Payments and Fees

  • All payments must be made as per the agreed quotation or invoice.
  • Payments are non-refundable once work has commenced.
  • Delayed payments beyond 7 days may attract interest and/or service suspension.
  • Ownership of any creative work will remain with The Visible until full payment is received.

5. Client Responsibilities

The Client agrees to:

  • Provide timely information, approvals, and content required for project completion.
  • Ensure that any content, logo, or material shared with The Visible does not infringe upon third-party rights or violate any law.
  • Be solely responsible for any legal consequences arising from content provided by them.

6. Intellectual Property

  • All intellectual property created by The Visible during the course of service shall remain the property of The Visible until full payment is made.
  • After payment, ownership may be transferred to the Client, as per agreement.
  • The Visible reserves the right to showcase completed work for portfolio or promotional purposes unless agreed otherwise in writing.

7. Confidentiality

Both parties agree to keep all business and personal information confidential. However, The Visible may use project outcomes, results, and analytics in marketing materials, provided no sensitive data is disclosed.

8. Limitation of Liability

  • The Visible shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.
  • The Client agrees that the maximum liability of The Visible shall not exceed the amount paid by the Client for the specific service in question.
  • The Visible is not responsible for losses resulting from platform policies (e.g., Meta, Instagram, Google, etc.), account suspensions, or algorithm changes.

9. Indemnification

The Client agrees to indemnify and hold harmless The Visible, its owners, employees, and associates from any claims, damages, or expenses arising from:

  • Violation of these Terms,
  • Misuse of the Services, or
  • Content provided by the Client that infringes on third-party rights or laws.

10. Termination

Either party may terminate the agreement with a written notice of 15 days. Upon termination:

  • The Client must settle all dues immediately.
  • No refunds will be issued for work already completed or in progress.
  • The Visible reserves the right to discontinue ongoing campaigns or revoke access to materials if payment obligations are unmet.

11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India.
All disputes arising out of or related to these Terms shall be subject to the exclusive jurisdiction of the courts in Cuttack, Odisha.

12. Electronic Communication and Consent

By engaging The Visible through email, WhatsApp, or any other digital medium, you consent to receive electronic communications and agree that such communications constitute written and binding agreements.

13. Amendment

The Visible reserves the right to modify or update these Terms at any time. Continued use of our Services after such updates constitutes acceptance of the revised Terms.

14. Force Majeure

The Visible shall not be held liable for any delay or failure in performance caused by circumstances beyond its control, including but not limited to natural disasters, network outages, or government restrictions.

15. Acceptance

By availing any service from The Visible, you acknowledge that you have read, understood, and agreed to these Terms and Conditions.
